TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of Balcony Trading’s TradingView indicators, related alerts and educational materials, future dashboard products, subscriptions, support services, and other related products or services offered by Balcony Trading LLC (“Balcony Trading,” “Company,” “we,” “us,” or “our”).

These Terms apply to all users, subscribers, purchasers, and members who access or purchase Vector, future TradingView indicators, future Balcony Trading dashboard products, or any other current or future product, subscription tier, or related service offered by Balcony Trading.

By purchasing, subscribing to, accessing, joining, or using any Balcony Trading service, you (“Member,” “Participant,” “you,” or “your”) acknowledge that you have read, understood, and agreed to these Terms.

1. ACCEPTANCE OF TERMS

By purchasing, subscribing to, accessing, or using any Balcony Trading service, you agree to be legally bound by these Terms.

Where acceptance is required, we present these Terms for your affirmative acceptance. Agreement to these Terms is separate from any express consent required for recurring charges. Visiting the website or joining Discord alone does not authorize a charge.

If you do not agree to these Terms, you should not purchase, access, or use the services.

2. EDUCATIONAL PURPOSE; NO FINANCIAL ADVICE OR FIDUCIARY RELATIONSHIP

Balcony Trading provides educational software tools, TradingView indicators, alerts, charts, examples, market commentary, product documentation, and technical support relating to trading and financial markets.

Balcony Trading is not a financial advisory service, investment adviser, broker-dealer, commodity trading adviser, fiduciary, or substitute for individualized professional financial, investment, tax, or legal advice. Your purchase or use of any service does not create an advisory, fiduciary, brokerage, agency, or client relationship with Balcony Trading or any of its owners, employees, contractors, instructors, or representatives. These statements describe the intended service scope and do not override any status, obligation, or right imposed by applicable law.

All content and outputs, including Vector, future indicators, dashboard features, signals, alerts, mode selections, chart markings, examples, documentation, and support materials, are general educational and informational tools only. They are not personalized for your objectives, financial condition, experience, risk tolerance, portfolio, or circumstances.

Nothing provided by Balcony Trading is a recommendation, solicitation, instruction, or guarantee to purchase, sell, hold, or otherwise transact in any security, option, futures contract, cryptocurrency, financial instrument, or investment. Terms such as “Buy Mode,” “Sell Mode,” “signal,” “entry,” “Invalidation Point,” and “target” are descriptive labels for generalized analytical chart outputs. They are not instructions to enter, exit, size, or manage any transaction and do not constitute personalized advice or a recommendation. Balcony Trading does not execute trades, manage accounts, monitor positions, or determine whether any trade or strategy is suitable for you. Balcony Trading personnel, instructors, moderators, and support representatives do not provide personalized instructions concerning live trades, position sizing, portfolio allocation, or whether a user should enter, hold, or exit a position. Any examples, discussions, support interactions, or trade reviews are general, retrospective, or educational only. These limits apply equally in public channels, private messages, live discussions, and one-on-one sessions. Personnel must decline requests for recommendations based on a member’s holdings, finances, objectives, or a current or proposed transaction. Retrospective discussion must remain general; it must not become a tailored plan for future trades.

You must independently evaluate all information, conduct your own research, verify any signal or alert before acting, and consult appropriately licensed professionals when necessary. Any trading or investment decision you make is voluntary, independent, and entirely at your own risk.

3. NO GUARANTEE OF RESULTS; ASSUMPTION OF TRADING RISK

Balcony Trading makes no promise, representation, or guarantee that any indicator, dashboard feature, signal, alert, mode, strategy, educational material, support service, or other product or service will be accurate, complete, timely, uninterrupted, profitable, or appropriate for any particular market condition or person.

No result, profit, return, win rate, level of performance, reduction of loss, or other outcome is promised or guaranteed. Past performance, backtests, hypothetical or simulated results, demonstrations, testimonials, trade examples, user results, and educational examples are illustrative only and are not guarantees or reliable predictions of future performance. References to historical evaluation, including any stated span of historical data, describe data coverage only and do not constitute a live performance record or a claim of future results.

Trading and investing are speculative and involve substantial risk. Market conditions may change rapidly, signals may be late or incorrect, alerts may fail or be delayed, and losses may exceed expectations. Depending on the product, strategy, leverage, margin, or instrument used, you may lose some or all of the capital committed and may incur losses greater than your initial investment.

By purchasing or using the services, you knowingly and voluntarily assume all market, trading, investment, technology, execution, liquidity, volatility, leverage, and third-party-platform risks. You remain solely responsible for determining whether trading, investing, any strategy, and each individual transaction are appropriate for you and for all resulting gains, losses, taxes, fees, and consequences.

4. PERSONAL RESPONSIBILITY

You are solely responsible for:

a. Your trading and investment decisions;

b. Your brokerage and financial accounts;

c. The amount of capital you choose to risk;

d. Conducting your own research and due diligence;

e. Evaluating information presented through Balcony Trading;

f. Determining whether information is appropriate for your personal circumstances; and

g. Seeking independent financial, tax, legal, or other professional advice when appropriate.

Subject to the non-waivable rights and liability exceptions in Section 31, users remain responsible for their independent trading decisions. Nothing in this section excuses unlawful conduct or excludes liability that cannot lawfully be excluded.

5. ELIGIBILITY

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to purchase or participate in Balcony Trading services.

By joining or purchasing, you represent that you are legally capable of entering into a binding agreement.

Unless expressly authorized by Balcony Trading in writing, you further represent that you are not joining for the purpose of acting on behalf of a financial institution, competing educational service, trading community, content provider, or similar organization.

6. PRODUCT AND SUBSCRIPTION ACCESS

A purchase or subscription provides access only to the product, subscription tier, content, support, and services expressly included with that purchase.

Features may differ by product or subscription tier and are governed by the product description and checkout terms presented at purchase.

Depending on the applicable purchase, access may include:

TradingView indicator access;

Product documentation and setup instructions;

Educational videos or written materials;

Alerts and features described for the purchased product;

Technical support through the stated support channel;

Trading-related educational content;

Additional support access, only when expressly included;

Dashboard access, when offered and expressly included;

General historical examples and educational feedback, only when expressly included and subject to Section 12;

One-on-one software instruction or general education, only when expressly included and subject to Section 12;

Product updates or replacement features;

Access to future products only when expressly included;

Product-specific benefits identified at checkout; or

Other benefits expressly identified at the time of purchase.

Purchasing one product or subscription tier does not grant access to another product, account, tier, dashboard, support offering, or future release unless expressly stated.

7. ACCESS PROVIDED VS. ACTUAL USE OF SERVICES

A user’s decision not to install, activate, view, access, participate in, or otherwise use services made available to the user does not mean that the services were not provided.

For purposes of these Terms, Balcony Trading will be considered to have provided access when the applicable TradingView invitation, dashboard credentials, content, instructions, links, permissions, support channel, or other purchased benefit has been made available in accordance with the purchased service. Providing a support link alone does not substitute for delivering the indicator or other substantive service purchased. This section does not limit remedies for non-delivery, material misdescription, or rights required by law.

This includes circumstances where a user:

a. Does not accept or activate the TradingView invitation;

b. Does not install, configure, or use the indicator;

c. Does not use available alerts, modes, dashboard features, or sessions;

d. Does not use available Discord or email support;

e. Does not review available documentation or setup materials;

f. Does not use an included educational or support benefit;

g. Does not redeem or follow access instructions;

h. Does not use additional support access, if included;

i. Does not schedule an included benefit within the applicable eligibility period; or

j. Otherwise chooses not to use some or all of the services made available through the purchase.

Inactivity, failure to install or activate a product, or voluntary non-use after access has been granted does not constitute non-delivery and does not create a right to a refund, credit, charge reversal, or subscription extension, except where required by law.

Users are responsible for reviewing access instructions and promptly notifying Balcony Trading of a genuine technical issue preventing access.

If Balcony Trading is notified of a legitimate Company-controlled access issue, Balcony Trading will have a reasonable opportunity to investigate and correct the issue.

8. USER RESPONSIBILITY FOR ACCESS

Users are responsible for maintaining:

a. A functioning TradingView account and, where required, a functioning Discord account;

b. Accurate contact and payment information;

c. Access to the email address used during enrollment;

d. An internet connection and compatible device;

e. Any third-party accounts reasonably necessary to access the purchased service; and

f. The security of their usernames, passwords, invitation links, codes, and credentials.

Failure to properly configure, maintain, or access a user’s account, device, browser, chart, or third-party platform does not constitute a failure by Balcony Trading to provide the purchased service.

9. THIRD-PARTY PLATFORMS

Balcony Trading services may rely on third-party platforms and providers, including TradingView, Discord, Stripe or other payment processors, market-data providers, website hosts, email providers, and other technology services.

Balcony Trading does not own or control these third-party platforms and cannot guarantee continuous availability or functionality.

Temporary outages, maintenance, technical problems, account issues, data delays, platform-policy changes, or interruptions caused by a third party do not automatically create a right to a refund.

Balcony Trading may reasonably modify the method through which services are delivered when necessary.

10. CONTENT ACCESS AND SERVICE MODIFICATIONS

Your subscription provides access to the indicators, dashboard features, content, support, or other services associated with the purchased tier.

Balcony Trading may add, remove, replace, reorganize, modify, suspend, or discontinue indicator features, modes, alerts, dashboard features, documentation, support methods, or other content.

The availability of a particular piece of content at one point in time does not guarantee that it will remain permanently available.

Balcony Trading may modify the structure or delivery method of a service provided that the general nature of the purchased product or subscription remains substantially consistent.

11. PRODUCT-SPECIFIC AND SUPPORT BENEFITS

Some products or subscription tiers may include additional benefits that are not available with every purchase.

These may include software instruction, one-on-one general educational sessions, historical examples, or dashboard access. They do not include personalized investment recommendations, portfolio reviews, or tailored trading plans.

Where a purchase includes a scheduled support session, educational review, or other scheduled benefit, that benefit must be used within the timing, scheduling requirements, and eligibility period disclosed for that offering.

Where a purchase includes a defined support period, support access begins on or after the activation date communicated for that offering.

Where an offering includes a one-on-one session, scheduling is subject to availability and the timeframe disclosed for that offering.

Failure to schedule, attend, submit required information, or otherwise utilize an available benefit does not create a right to a refund, credit, or cash value for that benefit. This does not limit rights or remedies required by applicable law.

12. EDUCATIONAL SUPPORT AND FEEDBACK

If Balcony Trading offers educational support or feedback, it is limited to software operation and impersonal discussion of general concepts or historical examples under Section 2. We do not review a member’s financial situation, recommend changes to holdings, or prepare a trading plan for that member. The applicable product description must state this scope before purchase.

Educational support and feedback do not include brokerage-account access, trade execution, portfolio management, individualized position sizing, asset allocation, or recommendations about a current or proposed position. Calling a discussion retrospective or educational does not permit tailored investment advice.

Educational feedback does not constitute financial advice, investment management, or a recommendation to enter or exit a particular trade.

Unless expressly stated otherwise, educational feedback may be provided asynchronously. Scheduled benefits expire at the end of the eligibility period disclosed for the applicable support offering.

13. RESPECTFUL AND APPROPRIATE BEHAVIOR

Members must treat other Members, moderators, administrators, instructors, and representatives respectfully.

Members may not engage in:

a. Harassment;

b. Threats;

c. Hate speech;

d. Discrimination;

e. Bullying;

f. Excessively disruptive behavior;

g. Spamming or flooding;

h. Impersonation;

i. Deliberately misleading representations of identity;

j. Attempts to disrupt the community or its services; or

k. Conduct that Balcony Trading reasonably determines interferes with the community or its Members.

14. MODERATION AND GROUP MANAGEMENT

Balcony Trading retains discretion to manage and moderate its communities.

Administrators and moderators may enforce these Terms and applicable channel-specific rules.

Actions may include warnings, muting, removal of posting privileges, restriction of individual channels, suspension, or termination of membership.

A Member’s permission to write, post, or participate in one or more Discord channels may be restricted or revoked without necessarily terminating the Member’s ability to access educational content.

The ability to post messages in every Discord channel is not guaranteed as part of community access.

Restriction of posting privileges does not, by itself, create a right to a refund.

15. INFORMATION SHARING

Members may share general educational information and historical chart examples in authorized channels. Do not solicit personalized recommendations, direct another member’s trades, promote copy trading, or solicit brokerage credentials. Staff must decline individualized requests, including in private messages, and moderate content that misrepresents these service limits.

Members remain responsible for ensuring that anything they share does not violate intellectual property rights, privacy rights, applicable law, or these Terms.

16. ACCOUNT LIMITS, CONFIDENTIALITY, AND PROHIBITION ON SHARING

Indicators, dashboard features, access invitations, documentation, support materials, educational content, and other restricted materials are intended solely for authorized users.

Users may not provide unauthorized third parties with access to:

a. TradingView indicator access, invitations, or scripts;

b. Product documentation and setup instructions;

c. Alerts and features described for the purchased product;

d. Private Discord support channels;

e. Private support or educational sessions or recordings;

f. Product documentation or educational materials;

g. Dashboard access, when offered and expressly included;

h. Proprietary concepts, logic, or workflows;

i. User-only communications;

j. Access links or invitation URLs;

k. Promotional or access codes; or

l. Other restricted materials or services.

Each purchase grants access to one designated TradingView account only. Access is personal and may not be shared, transferred, sublicensed, resold, or used by another person. A separate active purchase or subscription is required for each additional TradingView account.

17. COPYING, RECORDING, AND TECHNICAL CIRCUMVENTION PROHIBITED

Unless Balcony Trading provides prior written permission, users may not:

a. Record or redistribute private support or educational sessions;

b. Screen-record restricted Discord, dashboard, or product content for redistribution;

c. Copy, extract, scrape, archive, or reproduce restricted indicator outputs or data in bulk;

d. Reverse engineer, decompile, disassemble, decode, or attempt to discover source code, formulas, logic, or underlying methods;

e. Bypass, disable, defeat, or circumvent access controls, authentication, usage limits, or TradingView invite-only restrictions;

f. Republish, restream, rebroadcast, or commercially exploit Balcony Trading content or outputs;

g. Use bots, automation, scraping tools, or other unauthorized methods to access or copy the services; or

h. Publish, distribute, or provide third parties with restricted materials or access.

18. INTELLECTUAL PROPERTY AND SOFTWARE LICENSE

All indicators, dashboard software, product logic, interfaces, graphics, charts, alerts, documentation, videos, terminology, frameworks, written materials, recordings, and other original content provided by Balcony Trading remain the intellectual property of Balcony Trading LLC or the applicable owner.

A valid purchase or active subscription grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the applicable product for your own lawful, personal, educational purposes during the authorized access period.

A purchase or subscription does not transfer ownership of the indicator, dashboard, source code, product logic, content, trademarks, or any other intellectual property to you.

Without prior written authorization, users may not reproduce, modify, sell, license, publish, distribute, commercially exploit, create derivative or competing products from, or otherwise misuse Balcony Trading software, outputs, concepts, or materials.

19. DASHBOARD, MARKET DATA, ALERTS, AND BETA FEATURES

Dashboard features, indicators, alerts, charts, and related services may depend on TradingView, market-data providers, internet connectivity, devices, browsers, exchanges, and other third-party systems.

You acknowledge and agree that:

a. Market data, chart data, alerts, calculations, and displayed values may be delayed, incomplete, unavailable, or inaccurate;

b. Balcony Trading products are not an official market-data source or system of record;

c. Alerts are convenience features and may fail, arrive late, duplicate, or not trigger;

d. Beta, preview, experimental, or newly released features may contain errors and may change or be withdrawn without notice;

e. Features, data sources, integrations, and interfaces may be modified when reasonably necessary for security, performance, legal, licensing, or operational reasons;

f. You must independently verify information before acting and maintain appropriate backups, alerts, brokerage controls, and risk-management procedures; and

g. Balcony Trading products do not place, route, execute, manage, or monitor brokerage orders or positions.

No uptime, latency, data-delivery, alert-delivery, or service-level commitment applies unless Balcony Trading expressly agrees otherwise in writing.

20. USER-GENERATED CONTENT

When you voluntarily submit messages, reviews, testimonials, comments, charts, trade examples, questions, feedback, or other content to Balcony Trading, you retain whatever ownership rights you may otherwise possess in your original content.

You grant Balcony Trading a non-exclusive, royalty-free license to use submitted content as reasonably necessary to provide the service, operate the community, and maintain lawful business records. Public use of a private support message, your identity, or a testimonial in marketing requires your separate permission. Marketing edits must preserve your meaning and comply with applicable law.

Balcony Trading may remove identifying or sensitive information when reasonably appropriate.

21. SUBSCRIPTION AND BILLING

Vector is currently offered as a recurring subscription at $79 per month unless a different price, billing frequency, promotion, or fixed term is clearly presented at checkout. Other products may have different terms disclosed before purchase.

Monthly Payments

Subscription charges, applicable taxes, and any clearly disclosed fees will be charged to the payment method associated with your purchase on the billing schedule presented at checkout.

Automatic Renewal

Unless canceled before the next renewal date, recurring subscriptions automatically renew for successive periods matching the billing frequency disclosed at checkout.

Recurring charges require your express informed consent to the renewal terms presented before payment. Acceptance of these general Terms, continued use, or access to Discord alone is not consent to undisclosed charges. We provide a retainable purchase acknowledgment with the billing terms and cancellation instructions.

Price Changes

Balcony Trading may modify subscription pricing prospectively.

For existing subscriptions, we provide clear advance notice of price changes and cancellation instructions, and obtain additional consent where required by law. Changes apply only prospectively at a permitted billing date. Required renewal, promotional-expiration, price-change, and annual reminder notices are provided under applicable law.

Cancellation

You may cancel before your next renewal using the subscription-management link provided with your purchase or by emailing support@balconytrading.com. Self-service cancellation is effective when submitted. Email cancellation is effective when received with information reasonably sufficient to identify the subscription, not when staff finishes processing it. We will not impose a support-processing delay that causes an additional renewal charge. If you cannot access the link, email support for cancellation assistance. Online purchases must have an easy-to-use online cancellation method; no telephone call is required. We provide confirmation of cancellation.

Cancellation prevents future renewals but does not ordinarily reverse charges that have already been completed.

Unless access is terminated for a Terms violation or another disclosed exception applies, cancellation stops future renewals and access ordinarily continues through the remainder of the paid billing period.

22. PROMOTIONAL AND FREE MEMBERSHIP PERIODS

Certain Members may receive complimentary, discounted, promotional, or trial access for a specified period.

A trial or promotional period converts to paid recurring access only if its duration, conversion date, recurring price, billing frequency, and cancellation method were clearly disclosed and you expressly consented before being charged. We provide any reminder required by applicable law. Cancel before the disclosed conversion date to avoid the first authorized paid charge.

Failure to cancel before an authorized renewal does not create a right to a refund solely because the Member forgot to cancel or did not use the service.

Members are responsible for reviewing the renewal terms presented at enrollment.

23. PAYMENT PROCESSING, FAILED PAYMENTS, AND TAXES

Payments are processed by Stripe or another payment provider identified at checkout. Balcony Trading does not control the payment provider’s systems or independent terms.

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize the disclosed charges.

You are responsible for maintaining accurate billing information and promptly updating an expired, replaced, or invalid payment method.

A failed, declined, reversed, expired, or disputed payment may result in retry attempts, suspension, or termination of access.

Where permitted, the payment processor may retry a failed recurring charge according to its procedures.

a. You remain responsible for authorized amounts due before cancellation or termination;

b. Prices may exclude sales, use, value-added, or similar taxes unless expressly stated otherwise;

c. You are responsible for applicable taxes, currency-conversion costs, and charges imposed by your financial institution;

d. Promotional pricing applies only under the conditions disclosed with the promotion; and

e. Billing concerns should be reported promptly to support@balconytrading.com.

Payment processing is also subject to the applicable provider’s terms, privacy policy, fraud controls, and technical availability.

Balcony Trading may receive transaction identifiers, subscription status, limited billing details, and payment status but does not store your full payment-card number.

Refund eligibility, if any, is governed by Section 24 and applicable law.

24. NO REFUNDS

Except where otherwise expressly stated or required by applicable law, all sales are final and non-refundable once indicator, dashboard, support, or other purchased access has been granted. Before access is granted, contact support@balconytrading.com promptly regarding any billing error or cancellation request. This policy does not restrict mandatory refunds or remedies for unauthorized charges, charges after an effective cancellation, non-delivery, material misdescription, or any other circumstance protected by applicable law.

This includes, without limitation, situations where a Member:

a. Changes their mind;

b. Does not install, activate, or use the purchased indicator, dashboard, or service;

c. Does not connect or maintain the required TradingView or Discord account;

d. Does not review available documentation or educational content;

e. Does not use available alerts, support, or included sessions;

f. Does not follow setup or access instructions;

g. Does not participate in an included support or educational benefit;

h. Does not submit trades for review;

i. Does not schedule an available session;

j. Is unable to devote sufficient time to use the purchased service;

k. No longer wishes to trade;

l. Experiences trading losses;

m. Disagrees with the product’s outputs, design, documentation, or educational content;

n. Fails to cancel a recurring subscription before its renewal date; or

o. Otherwise fails to utilize access that Balcony Trading made available.

The purchase is for the availability of the applicable access and services during the purchased period, not for a guaranteed level of individual participation or consumption.

25. CHARGEBACKS AND PAYMENT DISPUTES

Please contact support@balconytrading.com promptly about billing errors or non-delivery so we can investigate. You are not required to delay a good-faith payment dispute, miss a filing deadline, or waive any rights provided by law or applicable payment-network rules.

Non-use or dissatisfaction with trading results alone does not establish non-delivery or a contractual refund entitlement. You retain all applicable rights to dispute unauthorized, incorrect, or otherwise contestable charges. A good-faith payment dispute is not, by itself, a breach of these Terms.

Balcony Trading reserves the right to provide payment processors, banks, card networks, or other dispute-resolution entities with documentation reasonably necessary to establish:

a. Acceptance of these Terms;

b. Proof of purchase;

c. Subscription records;

d. Access records;

e. TradingView invitation, indicator-access, dashboard-access, or Discord-support records;

f. Invitations, credentials, or access instructions;

g. Login or participation records where available;

h. Communications with the Member;

i. Subscription or access duration;

j. Evidence that content or services were made available; and

k. Other information reasonably relevant to a payment dispute.

A chargeback or payment dispute does not automatically create entitlement to a refund.

Knowingly fraudulent payment disputes may result in suspension or termination where permitted by law. We do not penalize a member solely for exercising a lawful, good-faith dispute right.

Nothing in these Terms eliminates any payment-dispute rights that cannot legally be waived under applicable law or payment-network rules.

26. TERMINATION OF ACCESS

Balcony Trading may suspend or terminate access to its services for violations of these Terms, including but not limited to:

a. Unauthorized distribution of content;

b. Recording or redistributing proprietary materials;

c. Sharing membership credentials;

d. Harassment;

e. Solicitation;

f. Unauthorized commercial use, redistribution, or solicitation;

g. Fraud;

h. Knowingly fraudulent payment disputes;

i. Threatening or seriously disruptive behavior;

j. Attempts to circumvent a previous ban;

k. Intellectual property violations; or

l. Other material violations of these Terms.

Where termination results from a Member’s violation of these Terms, the Member forfeits access to the service and is not entitled to a prorated refund for unused time, except where required by law.

A ban does not authorize further recurring charges. If a banned person attempts a new purchase, we may reject it; if payment is accepted but access will not be supplied, we will return the payment as required by law.

27. OPERATIONAL SUSPENSION OR DISCONTINUATION

Balcony Trading may suspend, modify, or discontinue a product, feature, integration, support method, or user access where reasonably necessary for security, legal compliance, platform compatibility, licensing, maintenance, or business operations.

This may include third-party platform changes, loss of required integrations or data rights, security concerns, legal or regulatory requirements, product replacement, or circumstances that make continued delivery impracticable.

If Balcony Trading permanently discontinues an active prepaid service for reasons unrelated to your breach, Balcony Trading will provide any remedy required by applicable law and may provide a prorated refund, credit, replacement access, or other reasonable remedy for an unused prepaid period.

Termination for a material violation does not ordinarily create a prorated refund entitlement, subject to applicable law. A good-faith payment dispute is not itself grounds to deny mandatory refunds. We stop future subscription renewals when we terminate paid access permanently.

28. ACCOUNT CHANGES AND REACTIVATION

Requests to change the TradingView account connected to an indicator are subject to identity verification, fraud prevention, technical feasibility, and Balcony Trading approval.

Balcony Trading may limit the frequency of account changes and may deny requests that indicate account sharing, resale, circumvention, abuse, or other misuse.

Cancellation or expiration does not guarantee later reactivation, restoration of prior pricing, availability of the same product, or access under prior terms.

You are responsible for maintaining current contact information and for reviewing notices sent to the email address associated with your purchase.

Discord users, customers, testimonial providers, and other third parties do not speak for or bind Balcony Trading unless expressly identified as authorized representatives.

30. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL SERVICES, INDICATORS, SIGNALS, ALERTS, CONTENT, DATA, AND MATERIALS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

Balcony Trading DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, TIMELINESS, AVAILABILITY, AND RESULTS. Balcony Trading DOES NOT WARRANT THAT ANY SERVICE OR OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, COMPATIBLE WITH ANY DEVICE OR THIRD-PARTY PLATFORM, OR SUITABLE FOR ANY TRADING OR INVESTMENT PURPOSE. YOU ARE RESPONSIBLE FOR VERIFYING ALL INFORMATION AND MAINTAINING APPROPRIATE RISK CONTROLS, BACKUPS, ALERTS, BROKERAGE SETTINGS, AND INDEPENDENT JUDGMENT.

31. ASSUMPTION OF RISK; LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Balcony Trading LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, INSTRUCTORS, ADMINISTRATORS, MODERATORS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY TRADING OR INVESTMENT LOSS, LOSS OF PRINCIPAL, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OR OPPORTUNITY, LOSS OF DATA, COST OF SUBSTITUTE SERVICES, OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

This limitation applies to claims arising out of or relating to, without limitation:

Trading or investment losses, including loss of principal or losses exceeding initial capital;

Lost profits, returns, revenue, or anticipated savings;

Lost business, investment, trading, or other opportunities;

Lost, corrupted, delayed, or unavailable data, alerts, or signals;

Reliance upon indicators, signals, alerts, examples, market commentary, or educational information;

Errors, delays, omissions, outages, unauthorized access, or third-party-platform interruptions;

Member conduct, brokerage execution, market conditions, or technology failures; or

Any decision, position, order, transaction, or failure to act by a Member, regardless of the legal theory asserted and even if Balcony Trading was advised that damages were possible.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF Balcony Trading PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO A PURCHASE OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO Balcony Trading FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. YOU ACKNOWLEDGE THAT THE PRICING OF THE SERVICES REFLECTS THIS ALLOCATION OF RISK. Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where it cannot lawfully be limited, or any other liability or consumer right that applicable law does not permit the parties to exclude or limit.

32. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Balcony Trading LLC and its owners, officers, employees, contractors, instructors, administrators, and moderators from third-party claims, liabilities, damages, losses, costs, and reasonable attorneys’ fees arising from:

a. Your violation of these Terms;

b. Your unlawful use of the services;

c. Your infringement of another person’s rights;

d. Content you submit or distribute;

e. Your unauthorized distribution of Balcony Trading intellectual property; or

f. Your misuse of the services or violation of applicable third-party platform rules.

33. DISCORD COMMUNITY ETIQUETTE

Members are expected to maintain respectful and productive conduct.

Respect

Bullying, discrimination, harassment, threats, and abusive behavior are prohibited.

Language

Excessively offensive, threatening, hateful, or derogatory language may result in moderation.

Content

Members may not distribute illegal, malicious, harmful, or NSFW content.

Spam

Repeated unsolicited messages, advertisements, promotions, or disruptive posts are prohibited.

Conflict Resolution

Members should avoid escalating personal disputes publicly within community channels.

Moderators may intervene when reasonably necessary.

Discord Rules

Members must also comply with Discord’s applicable Terms of Service and Community Guidelines.

Violation of Discord’s rules may result in limitations imposed by Discord that are outside the control of Balcony Trading.

Enforcement

Failure to comply with these Terms, Discord rules, or reasonable channel-specific rules may result in warnings, muting, restrictions, suspension, or removal.

34. LEGAL COMPLIANCE

Members must use Balcony Trading services in compliance with applicable federal, state, and local laws and regulations.

Members may not use Balcony Trading services to facilitate unlawful activity.

35. AMENDMENTS TO THESE TERMS

Balcony Trading may update these Terms from time to time.

Updated Terms will become effective upon posting or upon another effective date identified with the updated Terms.

Where legally required, notice of material changes will be provided.

Continued use may constitute acceptance only to the extent permitted by law. We obtain affirmative consent where required; posting revised Terms or continued use does not substitute for required recurring-payment consent.

36. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in effect to the maximum extent permitted by law.

An unenforceable provision shall be interpreted or modified only to the extent reasonably necessary to make it enforceable while preserving its intended purpose.

37. NO WAIVER

Failure by Balcony Trading to enforce any provision of these Terms on one occasion does not waive Balcony Trading’s right to enforce that provision in the future.

38. ENTIRE AGREEMENT AND PRODUCT-SPECIFIC TERMS

These Terms constitute the general Terms governing Balcony Trading services.

Certain products, promotions, subscription tiers, dashboard services, support offerings, or other specialized services may be subject to additional purchase terms, feature descriptions, eligibility requirements, or product-specific conditions presented before purchase.

When a user separately accepts product-specific or support terms, those terms supplement these Terms.

If accepted product-specific terms expressly conflict with these general Terms regarding a feature or requirement unique to that product, the product-specific terms control for that issue.

39. GOVERNING LAW, VENUE, AND INFORMAL DISPUTE RESOLUTION

These Terms and any dispute arising from or relating to Balcony Trading products or services are governed by the laws of the State of North Carolina and applicable federal law, without regard to conflict-of-laws principles, except where another law must apply.

Subject to non-waivable consumer rights, the state and federal courts located in Wake County, North Carolina will have exclusive jurisdiction and venue over disputes arising from or relating to these Terms or the services.

You consent to personal jurisdiction in those courts and waive objections based on inconvenient forum, except where applicable law does not permit that waiver.

Before filing a claim, you and Balcony Trading agree to attempt an informal resolution by sending written notice to the other party and allowing thirty (30) days for a good-faith response, unless urgent relief or applicable law requires otherwise.

A notice to Balcony Trading must be sent to support@balconytrading.com and should identify the purchaser, relevant transaction, nature of the dispute, supporting facts, and requested resolution.

If the dispute is not resolved within the informal-resolution period, either party may pursue any remedy available under these Terms and applicable law.

Nothing in this section prevents either party from pursuing an eligible small-claims matter or seeking urgent injunctive relief involving unauthorized access, misuse, security, or intellectual property.

Nothing in these Terms waives a consumer right or remedy that cannot lawfully be waived.

Any limitation, disclaimer, venue provision, or remedy restriction applies only to the maximum extent permitted by applicable law.
